13.裝運條款：

賣方應在合同規(guī)定的裝運日期前30天，以電報/電傳/傳真通知買方合同號、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運港可裝日期，以便買方安排租船/訂艙。裝運船只按期到達裝運港后，如賣方不能按時裝船，發(fā)生的空船費或滯期費由賣方負擔。在貨物越過船弦并脫離吊鉤以前一切費用和風險由賣方負擔。

14.裝運通知：

16.商品檢驗：賣方須在裝運前____日委托____檢驗機構對本合同之貨物進行檢驗并出具檢驗證書，貨到目的港后，由買方委托____檢驗機構進行復檢。

17.索賠：
claims:
如經(jīng)中國____檢驗機構復檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質量與本合同及質量保證書之規(guī)定不符，買方可于貨到目的港后____天內憑上述檢驗機構出具的證明書向賣方要求索賠。如上述規(guī)定之索賠期與質量保證期不一致，在質量保證期限內買方仍可向賣方就質量保證條款之內容向賣方提出索賠。

18.延期交貨違約金：
late delivery and penalty
除雙方認可的不可抗力因素外，賣方遲于合同規(guī)定的期限交貨，如買方同意遲延交貨，賣方應同意對信用證有關條款進行修改和同意銀行在議付貨款時扣除本條規(guī)定的違約金。違約金總值不超過貨物總價值的5%，差率按7天0.5%計算，不滿7天仍按7天計算。在未采用信用證支付的情況下，賣方應將前述方法計算的違約金即付買方。
if the sellers fail to make delivery on time as stipulated in the contract,with exception of force majeure,the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation,the penalty,however,shall not exceed 5% of the total value of the goods.the rate of penalty is charged at 0.5% for every seven days,if less than seven days.in case,the payment is not made through l/c,the sellers shall pay the penalty counted as above to the buyers as soon as possible.
19.不可抗力：如發(fā)生不可抗力情況，賣方應及時以電報/傳真/電傳通知買方，并在14天內郵寄事故發(fā)生地政府或商會出具的證明事故的文件。
force majeure:the sellers shall advise the buyers by cable/fax/tlx in case of force majeure,and furnish the later within 14 days by registered airmail with a certificate issued by local government/chamber of commerce attesting such event or events.
20.爭議之解決方式：
disputes settlement:
□任何因本合同而發(fā)生或與本合同有關的爭議，應提交中國國際經(jīng)濟貿易仲裁委員會，按該會的仲裁規(guī)則進行仲裁。仲裁地點在中國。仲裁裁決是終局的，對雙方均有約束力。

21.法律適用：

本合同之簽訂地、或發(fā)生爭議時貨物所在地在中華人民共和國境內或被訴人為中國法人的，適用中華人民共和國法律，除此規(guī)定外，適用《聯(lián)合國國際貨物銷售合同公約》。

10. 品質/數(shù)量異議

11. 由于發(fā)生人力不可抗拒的原因，致使本合約不能履行，部分或全部商品延誤交貨，賣方概不負責。本合同所指的不可抗力系指不可干預、不能避免且不能克服的客觀情況。
11. the seller shall not be held responsible for failure or delay in delivery of the entire lot or a portion of the goods under this sales contract in consequence of any force majeure incidents which might occur. force majeure as referred to in this contract means unforeseeable， unavoidable and insurmountable objective conditions.
12. 爭議的解決

凡因本合同引起的或與本合同有關的任何爭議，均應提交中國國際經(jīng)濟貿易仲裁委員會，按照申請仲裁時該會現(xiàn)行有效的仲裁規(guī)則在南京進行仲裁。仲裁裁決是終局的，對雙方均有約束力。

第十一條 索賠：賣方同意受理因貨物的質量、數(shù)量和(或)規(guī)格與合同規(guī)定不符的異議索賠，但賣方僅負責賠償由于制造工藝不良或材質不佳所造成的質量不符部分。有關安裝不當或使用不善造成的索賠或損失，賣方均不予受理。提出索賠異議必須提供有聲譽的、并經(jīng)賣方認可的公證機構的檢驗報告。有關質量方面索賠異議應于貨到目的地后3個月內提出，有關數(shù)量和(或)規(guī)格索賠異議應于貨到目的地后30天內提出。一切損失凡由于自然原因或屬于船方或保險公司責任范圍內者，賣方概不受理。如買方不能在合同規(guī)定期限內將信用證開出，或者開來的信用證不符合合同規(guī)定，而在接到賣方通知后，不能按期辦妥修正，賣方可以撤銷合同或延期交貨，并有權提出賠償要求。
第十二條 不可抗力：因不可抗力不能如期交貨或不能交貨時，賣方不負責任。但賣方必須向買方提供有權機構所出具的證明。
第十三條 仲裁：凡因執(zhí)行本合同或與本合同有關事項所發(fā)生的一切爭執(zhí)，均由雙方通過友好協(xié)商方式解決。如不能取得協(xié)議時，則在被告國家根據(jù)被告國家仲裁機構的仲裁程序規(guī)則進行仲裁。仲裁裁決是終局的，對雙方具有同等的約束力。仲裁費用，除仲裁機構另有決定外，均由敗訴方負擔。
第十四條 其他：對本合同的任何變更，需雙方商定達成書面協(xié)議經(jīng)雙方簽字后，方為有效，任何一方在未取得對方書面同意前，無權將本合同規(guī)定的權利及義務轉讓給第三者。
